Movano (MOVE) receives Nasdaq notice on late 10-Q

May 23, 2025 4:11 PM EDT

Movano Health (Nasdaq: MOVE)(the "Company") announced today that it received a notice (the "Notice") from the Listing Qualifications Department of the Nasdaq Stock Market ("Nasdaq") indicating that because the Company had not yet filed its Form 10-Q for the quarterly period ended March 31, 2025 (the "Form 10-Q"), the Company was not in compliance with Nasdaq Listing Rule 5250(c)(1) (the "Listing Rule") requiring Nasdaq-listed companies to timely file all periodic financial reports with the Securities and Exchange Commission (the "SEC"). The Form 10-Q was due on May 15, 2025.

The Notice states that the Company has 60 calendar days, or until July 21, 2025, to submit a plan to regain compliance with the Listing Rule (the "Plan"). If Nasdaq accepts the Company's Plan to regain compliance, then Nasdaq may grant the Company up to 180 calendar days from the Form 10-Q filing due date, or until November 11, 2025, to file its Form 10-Q to regain compliance. If Nasdaq does not accept the Company's Plan, then the Company will have the opportunity to appeal that decision to a Nasdaq Hearings Panel.
