Turbogen files for Nasdaq listing, plans $7.5 million financing
Turbogen Ltd. filed a Form F-1 registration statement with the U.S. Securities and Exchange Commission as part of its plan to list on the Nasdaq Capital Market, according to a company statement.
The Israeli microturbine technology company said it aims to complete the dual listing process within the coming weeks without conducting a traditional U.S. underwritten initial public offering.
Upon the registration statement's effectiveness, Turbogen plans to complete a $7.5 million financing transaction led by investor Alex Katz through a strategic private placement and the exercise of existing shareholder-approved options from November 25, 2025.
Controlling shareholder Anglo Turbo recently acquired approximately $2.25 million in additional shares, the company stated.
Turbogen manufactures multi-fuel microturbine systems for on-site electricity and heat generation, targeting U.S. and European markets. The company's Combined Heat and Power systems are designed to improve building energy utilization while reducing greenhouse gas emissions and operational costs.
The company reported signing long-term contracts to supply microturbine systems to U.S. and European companies, though specific contract details were not disclosed.
"We are entering the U.S. capital markets at an ideal juncture, backed by proven technology and a surging demand for independent, green energy solutions," said CEO Yaron Gilboa in the statement.
