Snow Rothschild prices $200 million IPO at $10 per unit

Snow Rothschild Acquisition Corp. (NASDAQ: ISNRU) priced its initial public offering of 20 million units at $10.00 per unit, raising $200 million, according to a company statement.



Each unit consists of one Class A ordinary share and one-half of one redeemable warrant. Each whole warrant allows the holder to purchase one Class A ordinary share at $11.50 per share, subject to adjustments. The company will deposit $10.00 per unit into a trust account with Continental Stock Transfer & Trust as trustee.



The units are expected to begin trading on the Nasdaq Stock Market on June 9, 2026, under the symbol "ISNRU." Once the securities begin separate trading, the Class A ordinary shares and warrants are expected to trade under the symbols "ISNR" and "ISNRW," respectively. The offering is expected to close around June 10, 2026, subject to customary conditions.



Santander serves as the sole book-running manager for the offering. The company granted the underwriter a 45-day option to purchase up to an additional 3 million units at the initial public offering price minus the underwriting discount to cover over-allotments.



Snow Rothschild Acquisition Corp. is a blank check company formed to pursue a merger, share exchange, asset acquisition or similar business combination with one or more businesses. The company intends to focus on opportunities in multiple industries, particularly industrial assets, though it may pursue acquisitions in any sector or geographical location.



The company's management team includes Ian Snow as Chief Executive Officer and director, Nathaniel Rothschild as Chairman, and William Chai as Chief Financial Officer.
