Sharon AI prices $125 million IPO at $30 per share on NASDAQ

SharonAI Holdings Inc. (NASDAQ: SHAZ) priced its initial public offering of 4,166,666 Class A ordinary shares at $30.00 per share, raising approximately $125 million in gross proceeds before fees and expenses.



The Australian cloud computing company's shares began trading on the Nasdaq Capital Market under ticker symbol "SHAZ." The offering is expected to close on or around February 19, 2026, subject to standard closing conditions.



Sharon AI granted underwriters a 45-day option to purchase up to 625,000 additional shares at the offering price minus underwriting discounts and commissions. The company previously traded on the OTCPK market before the Nasdaq listing.



The offering was led by funds managed by Oaktree Capital Management and Two Seas Capital, with participation from other institutional investors. Lucid Capital Markets served as sole book-running manager.



Sharon AI stated it intends to use net proceeds to acquire GPU-focused equipment and for working capital and general corporate purposes. The company operates a cloud GPU platform and compute infrastructure focused on artificial intelligence applications.
