SPACSphere Acquisition closes $172.5 million IPO on NASDAQ

SPACSphere Acquisition Corp. (NASDAQ: SSACU) completed its initial public offering, raising $172.5 million through the sale of 17.25 million units at $10 per unit. The offering included 2.25 million units from the underwriter's over-allotment option exercise.



The units began trading on NASDAQ on February 6, 2026. Each unit contains one Class A ordinary share, half of a redeemable warrant, and one share right. The warrants allow holders to purchase Class A shares at $11.50 per share. Share rights entitle holders to receive one-fifth of a Class A share upon completion of a business combination.



The company deposited $10 per unit into a trust account following the offering closure. When the securities begin separate trading, Class A shares, warrants, and share rights will trade under symbols SSAC, SSACW, and SSACR respectively.



SPACSphere is a special purpose acquisition company seeking to merge with or acquire businesses in digital assets, technology, and healthcare sectors. The company's management team includes CEO and Chairman Bala Padmakumar and CFO Soumen Das. Board members are Kathleen Cuocolo, Magnus Ryde, and Mark Platshon.



D. Boral Capital LLC served as sole book-running manager for the offering. Norton Rose Fulbright US LLP acted as legal advisor to SPACSphere, while Loeb & Loeb LLP advised D. Boral.
