Robinhood Ventures Fund II prices IPO at $25 per share on NYSE
Robinhood Ventures Fund II (NYSE: RVII) priced its initial public offering of 8,000,000 common shares of beneficial interest at $25.00 per share, according to a press release from Robinhood Markets, Inc.
The offering brings the total size of the fund to $225.5 million, or up to $255.5 million if underwriters exercise their option to purchase an additional 1,200,000 common shares. Those figures are calculated before deducting the sales load and offering expenses.
Shares were expected to begin trading on the New York Stock Exchange on Aug. 13, 2026, with the offering expected to close on Aug. 14, 2026, subject to customary closing conditions.
RVII is structured as a business development company, a type of closed-end fund. The fund is focused on providing retail investors exposure to a diversified portfolio of private companies at early stages of development.
The Securities and Exchange Commission declared the registration statement effective on Aug. 12, 2026.
Goldman Sachs & Co. LLC is serving as lead bookrunner for the offering. Citigroup, J.P. Morgan, UBS Investment Bank, and Wells Fargo Securities are joint bookrunners.
Robinhood Ventures, the investment adviser for RVII, is a wholly owned subsidiary of Robinhood Markets, Inc. and is registered with the SEC.
