Phaos Technology completes $10.8 million initial public offering
Phaos Technology Holdings (Cayman) Limited (NYSE American: POAS) completed its initial public offering of 2.7 million class A ordinary shares at $4.00 per share, raising $10.8 million in gross proceeds before expenses, according to a company statement.
The microscopy solutions company began trading on the NYSE American on November 13, 2025. Selling shareholders offered an additional 900,090 shares at the same price, though the company received no proceeds from those sales.
Network 1 Financial Securities served as the sole book-running manager for the offering. The underwriter received a 45-day option to purchase up to 405,000 additional shares at the offering price to cover over-allotments. If exercised in full, the company expects to receive approximately $12.4 million in gross proceeds before expenses.
Phaos Technology Holdings is the investment holding company of Phaos Technology Pte. Ltd., which develops microscopy products and artificial intelligence-powered software solutions for manufacturing, biomedical, and research sectors.
The offering was conducted under a registration statement on Form F-1 that became effective on November 11, 2025. Ortoli Rosenstadt LLP served as U.S. securities counsel to the company, while Loeb & Loeb LLP represented the underwriter.
The company is based in Singapore and operates in the advanced microscopy technology sector.
