Meshflow Acquisition completes $345 million IPO with full overallotment

Meshflow Acquisition Corp. (NASDAQ: MESHU) completed its initial public offering of 34.5 million units at $10.00 per unit, raising $345 million including the full exercise of underwriters' overallotment option for 4.5 million additional units.



Each unit consists of one Class A ordinary share and one-third of one redeemable warrant. Each whole warrant allows the purchase of one Class A ordinary share at $11.50 per share.



The units began trading on Nasdaq under ticker symbol "MESHU" on December 10, 2025. The Class A ordinary shares and warrants are expected to trade separately under symbols "MESH" and "MESHW" respectively.



Concurrent with the IPO closing, the company completed a private placement of 5.33 million warrants at $1.50 per warrant, generating $8 million in gross proceeds. Meshflow Acquisition Sponsor LLC purchased 3.33 million warrants, while underwriters Cantor Fitzgerald & Co. and Odeon Capital Group LLC purchased 1.4 million and 600,000 warrants respectively.



The company placed $345 million from the offering proceeds in trust, representing $10.00 per unit sold in the public offering.



Meshflow Acquisition Corp. is a special purpose acquisition company formed to pursue business combinations. The company stated it expects to target opportunities in blockchain and digital asset infrastructure, including crypto infrastructure platforms, decentralized coordination tools, Web3 middleware, asset tokenization systems, and foundational protocols for decentralized economies.



Cantor Fitzgerald & Co. served as sole book-running manager for the offering, with Odeon Capital Group LLC as co-manager. The Securities and Exchange Commission declared the registration statement effective on December 9, 2025.
