Karbon Capital Partners Corp completes $345 million IPO
Karbon Capital Partners Corp. completed its initial public offering of 34.5 million units at $10.00 per unit, raising $345 million. The offering included 4.5 million units sold through the full exercise of the underwriter's over-allotment option.
The units began trading on the Nasdaq Global Market under ticker symbol "KBONU" on December 11, 2025. Each unit consists of one Class A ordinary share and one-fourth of one redeemable warrant. Each whole warrant allows the holder to purchase one Class A ordinary share at $11.50 per share, subject to adjustment.
Once the securities begin separate trading, the Class A ordinary shares and warrants are expected to list on the New York Stock Exchange under symbols "KBON" and "KBONW," respectively.
Citigroup served as the sole book-running manager for the offering. The U.S. Securities and Exchange Commission declared the registration statement effective on December 10, 2025.
Karbon Capital Partners Corp. is a special purpose acquisition company incorporated in the Cayman Islands. The company was formed to pursue a business combination with one or more businesses in the energy industry.
The company plans to focus on power generation, energy infrastructure and energy technology sectors. According to the press release, the company intends to target businesses with growth prospects tied to energy needs of data centers and liquefied natural gas operations.
