HMH Holding launches IPO of 10.5 million shares at $19-22 range

HMH Holding Inc. announced the launch of its initial public offering of 10,520,000 shares of Class A common stock, according to a company statement. The Houston-based company set an expected pricing range of $19.00 to $22.00 per share.



The underwriters have a 30-day option to purchase up to an additional 1,578,000 shares at the IPO price, less underwriting discounts and commissions. HMH has applied to list its Class A common stock on The Nasdaq Global Select Market under the ticker symbol "HMH."



J.P. Morgan, Piper Sandler and Evercore ISI serve as joint lead book-running managers for the offering. Citigroup and DNB Carnegie act as joint book-running managers, while Stifel, Nordea and Pickering Energy Partners serve as co-managers.



HMH describes itself as a provider of drilling equipment, services and systems for oil and gas operations in offshore and onshore environments. The company manufactures equipment and provides aftermarket services, with operations that extend to adjacent industries including mining.



A registration statement for the securities has been filed with the Securities and Exchange Commission but has not yet become effective. The company noted that no securities may be sold until the registration statement becomes effective.



The offering will be conducted through a prospectus, with copies available from the underwriters and through the SEC's website under the registrant name "HMH Holding Inc."
