Gifts International withdraws SEC registration statement
Gifts International Holdings Limited, a British Virgin Islands company, has requested the withdrawal of its registration statement on Form F-1 filed with the U.S. Securities and Exchange Commission, citing plans to abandon the offering.
The company initially filed the Form F-1 registration statement on June 6, 2025, under File No. 333-287861, pursuant to the Securities Act of 1933. The registration statement became effective on November 4, 2025.
In its withdrawal request filed under Rule 477 of the Securities Act, the company stated that it no longer plans to consummate the offering described in the registration statement. The company confirmed that no securities were sold in connection with the filing.
The company acknowledged that fees paid to the SEC in connection with the registration statement will not be refunded, but requested that those fees be credited for future use under Rule 457(p) of the Securities Act.
