General Catalyst Global Resilience priced $350 million IPO at $10 per unit
General Catalyst Global Resilience Merger Corp. announced the pricing of its initial public offering of 35 million securities at $10.00 per unit, raising $350 million. The securities will trade on Nasdaq under the ticker "GCGRU" starting April 30, 2026.
Each security consists of one Class A ordinary share and one-fourth of one redeemable warrant. Whole warrants allow holders to purchase Class A shares at $11.50 per share, subject to adjustments. The Class A shares and warrants will trade separately under symbols "GCGR" and "GCGRW" respectively once separate trading begins.
The offering is expected to close May 1, 2026, subject to customary closing conditions. Citigroup Global Markets Inc. serves as sole book-running manager, with Academy Securities Inc. as co-manager. Underwriters received a 45-day option to purchase up to 5.25 million additional securities to cover over-allotments.
The Securities and Exchange Commission declared the registration statement effective April 29, 2026. General Catalyst Global Resilience is a blank check company incorporated in the Cayman Islands, formed to complete mergers or business combinations with other entities.
The company intends to focus on what it calls Global Resilience sectors, including aerospace and defense, national security, industrials and manufacturing. The information is based on a company press release.
