Facebook will starts disclosing key financial data or file for an initial public offering by April 2012, according to a private-placement memo being distributed to potential investors, the Wall Street Journal reported.
Facebook will breach the critical 500-shareholder later this year, the documents stated. Passing this milestone triggers reporting requirements with the SEC even if the company isn't public.
