BOA Acquisition Corp. II raises $143.75M in Nasdaq IPO
BOA Acquisition Corp. II (Nasdaq: THEOU), a special purpose acquisition company, closed its initial public offering of 14,375,000 units at $10.00 per unit, raising $143,750,000 in total proceeds, according to a press release from D. Boral Capital.
The offering included the full exercise of an underwriters' option to purchase an additional 1,875,000 units to cover over-allotments. The units began trading on the Nasdaq Global Market under the ticker "THEOU" on August 4, 2026, with the offering closing on August 5, 2026.
Each unit consists of one Class A ordinary share and one right to receive one Class A ordinary share upon completion of an initial business combination. Once the securities begin trading separately, the Class A ordinary shares and rights are expected to list on Nasdaq under the symbols "THEO" and "THEOR," respectively.
D. Boral Capital LLC served as sole bookrunner for the offering.
The company states it intends to focus its search for acquisition targets on direct investments in real estate and infrastructure assets, particularly within the energy, telecommunications, and transportation sectors, though it may pursue opportunities across any industry or geography.
