BOA Acquisition Corp. II raises $143.75M in Nasdaq IPO
BOA Acquisition Corp. II, a special purpose acquisition company, closed its initial public offering of 14,375,000 units at $10.00 per unit, raising $143.75 million in total proceeds, according to a press release.
The offering includes 1,875,000 units issued following the underwriter's full exercise of the over-allotment option. Units began trading on the Nasdaq Global Market under the ticker symbol "THEOU" on Aug. 4, 2026. Each unit consists of one Class A ordinary share and one right to receive one additional Class A ordinary share upon completion of an initial business combination.
Once the units begin trading separately, the company expects its Class A ordinary shares and rights to be listed on Nasdaq under the symbols "THEO" and "THEOR," respectively.
The company stated it intends to focus its search for an acquisition target on direct investments in real estate and infrastructure assets, with particular interest in the energy, telecommunications, and transportation sectors. The company may pursue a combination in any business, industry, sector, or geographical location.
D. Boral Capital LLC acted as sole book-running manager for the offering. The U.S. Securities and Exchange Commission declared the registration statement effective on Aug. 3, 2026.
