Apogee Acquisition closes $172.5 million IPO on NASDAQ
Apogee Acquisition Corp completed its initial public offering on April 8, 2026, raising $172.5 million in gross proceeds before fees. The blank check company sold 17.25 million units at $10 per unit, including 2.25 million units from the full exercise of underwriters' overallotment option.
The units began trading on NASDAQ under ticker symbol "AACPU" on April 7, 2026. Each unit contains one Class A ordinary share, one redeemable warrant, and one right to receive one-fifth of a Class A share upon completion of a business combination. The warrants allow holders to purchase Class A shares at $11.50 per share.
The company plans to pursue business combinations with companies developing advanced technologies across physical and digital domains. Target sectors include software, hardware, compute infrastructure, engineered materials, intelligent systems, automation, energy and power technologies, according to the press release.
Once separate trading begins, the Class A shares, warrants and rights will trade under symbols "AACP," "AACPW," and "AACPR" respectively on NASDAQ.
ARC Group Securities LLC served as sole book-running manager while Clear Street LLC acted as co-manager for the offering. The Securities and Exchange Commission declared the registration statement effective on April 6, 2026.
Special purpose acquisition companies like Apogee raise capital through public offerings to identify and merge with private companies, providing an alternative path to public markets.
