InnSuites Hospitality Trust explores reverse merger, amends 10-K
InnSuites Hospitality Trust (NYSE American: IHT) has disclosed that it is exploring a potential reverse merger as part of broader efforts to diversify and increase equity, according to a press release from the Phoenix-based company.
IHT also filed an amended annual report (Form 10-K/A) for the fiscal year ended January 31, 2026, correcting two items from the original filing submitted to the Securities and Exchange Commission on May 18, 2026. The amendment updates the audit opinion letter date from May 15, 2026, to May 18, 2026, and corrects the classification of a mortgage note payable that had been incorrectly listed as due within the next 12 months. The mortgage note matures in December 2029. No other changes were made to the original filing.
The company reported combined revenue of approximately $2.9 million for the first four fiscal months of fiscal year 2027 across its two hotels, which it described as a record level.
IHT holds an investment in UniGen Power, Inc., a clean energy electric generation company. James Wirth was elected Chairman, CEO, and President of UniGen on February 20, 2026, while Marc Berg was elected Vice Chairman, EVP, and Secretary/Treasurer. The company said the first two prototype engines are targeted for testing readiness within two years.
IHT noted that its most recent dividend extended the company's consecutive annual dividend streak to 56 years, dating to 1971 when it was first listed on the NYSE.
