Wendy's responds to Trian Partners amended 13D filing

The Wendy's Company (NASDAQ: WEN) issued a statement regarding an amended Schedule 13D filing by Trian Fund Management and its affiliates with the Securities and Exchange Commission.
The Dublin, Ohio-based restaurant company said its board of directors and management team regularly review strategic priorities and opportunities to maximize shareholder value. The board committed to acting in shareholders' best interests and will carefully evaluate any proposal submitted by Trian Partners consistent with its fiduciary duties.
Wendy's referenced its fourth quarter 2025 earnings call, stating it is executing Project Fresh, a turnaround plan to strengthen its U.S. business while maintaining international growth. The company operates more than 7,000 restaurants worldwide through company-owned locations and franchisees.
Schedule 13D filings are required when investors acquire more than 5% of a company's stock and can signal potential activist investor involvement or strategic changes.
