Donerail urges MarineMax shareholders to vote against CEO McGill

The Donerail Group, which owns over 4% of MarineMax Inc. (NYSE: HZO) shares, issued an open letter urging shareholders to vote against CEO Brett McGill at the company's March 3 annual meeting.

Donerail expressed disappointment that MarineMax's board has not provided meaningful feedback on its $35 per share all-cash acquisition proposal, first submitted January 13. The investment group said the board has not established a process to evaluate the proposal or provided access to confidential information needed to finalize a binding offer.

The California State Teachers' Retirement System (CalSTRS), the second-largest public pension fund in the United States, voted against McGill's re-election and all other company director nominees, according to Donerail's letter dated February 23.

Levin Capital Strategies, described as a top 10 MarineMax shareholder, called for the company to announce a strategic review following Donerail's acquisition proposal, citing "prior failures to capitalize on credible acquisition offers" in a February 17 press release.

Donerail said it remains prepared to move forward with its proposal and could potentially increase the offer price upon gaining access to due diligence materials. The group characterized its $35 per share proposal as representing a significant premium to MarineMax's unaffected trading levels.

Founded in 2018, The Donerail Group describes itself as a strategic investor that partners with management teams and boards. The company stated it has received engagement from shareholders, industry participants and financial institutions expressing concerns about MarineMax's performance and governance since its February 9 public letter.
