August 20, 2026 6:02 AM EDT

Robo.ai Inc. (Nasdaq: AIIO), headquartered in Abu Dhabi, announced it will release unaudited financial statements for the six months ended June 30, 2026, on August 24, 2026, and provided an update on several completed transactions.

The company said it disposed of its legacy operations, which carried the substantial majority of its historical liabilities. Following the disposal, the company stated that shareholders' equity is expected to move to a positive position.

Robo.ai completed the acquisition of Neurovia AI, through which it obtained exclusive rights to AI data processing and compression technologies intended for use in sectors including public safety, transportation, energy, and municipal services. The Neurovia AI team is currently conducting product and project testing with customers.

The company also completed the acquisition of Quantum Core Capital, described as an AI-powered deep-tech holding and venture-building platform, whose operating entities are expected to gradually begin business operations in the UAE.

Additionally, Robo.ai established Alif Holding, an industrial group focused on technology infrastructure in the UAE. Dr. Ahmed Naser Al-Raisi, former President of Interpol, was named Chairman, and Dr. Jasem Al-Mansory, a former senior official at the UAE Ministry of Interior, was named Chief Executive Officer.

The company cautioned that its results for the first half of 2026 are not comparable to the same period in 2025 and should not be used to estimate future performance, given the scope of changes to its business during the period.

Robo.ai plans to file the unaudited condensed consolidated financial statements with the U.S. Securities and Exchange Commission on Form 6-K.
