MKS Instruments (NASDAQ: MKSI) updated its financial guidance for the fourth quarter ended December 31, 2025, raising revenue expectations by $40 million to approximately $1.03 billion, according to a company statement released January 21, 2026.
The company now expects revenue of $1.03 billion, plus or minus $5 million, compared to its previous guidance. GAAP net income is projected at $106 million, plus or minus $3 million, while adjusted EBITDA is expected to reach $248 million, plus or minus $2 million.
MKS stated the revenue increase stems from increased demand across all markets and divisions. The company expects gross margin, non-GAAP net earnings, GAAP net income per diluted share, and non-GAAP net earnings per diluted share to exceed the midpoint of previously issued guidance.
Operating expenses are anticipated to be slightly higher than the previous guidance range due to increased variable compensation and higher restructuring charges, partially offsetting the revenue gains.
The guidance update was provided in connection with a meeting scheduled for January 22, 2026, with existing and prospective lenders to discuss potential debt refinancing activity.
The company emphasized that the financial guidance is preliminary and based on assumptions, as closing procedures for the quarter and year ended December 31, 2025, remain incomplete. Actual results are subject to final management review, audit committee approval, and independent auditor review.
MKS provided a reconciliation showing how its adjusted EBITDA guidance of $248 million relates to GAAP net income of $106 million, with adjustments including $47 million in net interest expense, $62 million in amortization of intangible assets, and $24 million in depreciation.
