Diginex updates on three pending acquisitions worth up to $2.3 billion

Diginex Limited (NASDAQ: DGNX) provided an update on its acquisition strategy involving three companies with a combined potential value of up to $2.3 billion, according to a company statement.

The sustainability RegTech company signed a definitive agreement on August 18, 2025, to acquire Matter DK ApS, a Copenhagen-based ESG data company, for $13 million in Diginex shares valued at $83.77 per share. The transaction includes an additional $2.5 million in shares for Matter's senior management team. Diginex will issue 1,241,496 ordinary shares to Matter's sellers, with 85% issued at closing and 15% after 12 months. The deal is expected to close within 30 days.

Diginex signed a memorandum of understanding in June 2025 to acquire Singapore-based Resulticks Group Companies for $2 billion. The deal structure includes $1.4 billion in Diginex shares at $72 per share, $100 million in cash, and up to $500 million in earnout payments tied to EBITDA targets ranging from $100 million to $325 million over fiscal years 2026-2028. Due diligence has been extended to October 31, 2025, with closing targeted before year-end 2025.

The company also signed a non-binding agreement in August 2025 to acquire IDRRA Cyber Security Ltd (Findings) for up to $305 million, comprising $270 million in Diginex shares and up to $35 million in cash. The deal includes performance-based earnouts and is subject to due diligence completion.

Diginex has provided working capital advances to both Matter and Resulticks, totaling €500,000 and $8 million respectively. All share calculations will be adjusted for Diginex's eight-for-one stock split completed on September 8, 2025.
