ARKO reports preliminary Q4 results, subsidiary launches IPO roadshow

ARKO Corp. (NASDAQ: ARKO) announced preliminary fourth quarter and full year 2025 financial results. The convenience store operator expects fourth quarter net income between a loss of $1.8 million and income of $0.4 million, compared to a net loss of $2.3 million in the prior year period.

For the full year 2025, ARKO estimates net income of $19.1 million to $21.3 million, compared to $20.8 million in 2024. The company projects full year Adjusted EBITDA between $246.0 million and $249.0 million, slightly below the prior year's $248.9 million.

Fourth quarter Adjusted EBITDA is expected to range from $63.1 million to $66.1 million, representing an increase from $56.9 million in the fourth quarter of 2024.

Concurrently, ARKO Petroleum Corp., a subsidiary representing a material portion of ARKO's business, launched a roadshow for its initial public offering of Class A common stock shares. The IPO announcement prompted ARKO to release these preliminary consolidated financial estimates.

The Richmond, Virginia-based company operates convenience stores and wholesales fuel across the United States. ARKO noted the preliminary figures are unaudited and subject to change upon completion of final financial closing procedures and audit processes.

Grant Thornton LLP, the company's independent auditor, has not reviewed the preliminary financial information. ARKO plans to report final fourth quarter and full year 2025 results later this quarter, along with its 2026 outlook.
