PW Eagle Inc. (Nasdaq: PWEI) 11.5% HIGHER; J-M Manufacturing Company, Inc. and PW Eagle, Inc. announced that they have signed a definitive merger agreement under which J-M Manufacturing will acquire all of the outstanding common shares of PW Eagle for $33.50 per share in cash.

Phoenix Technologies Ltd. (Nasdaq: PTEC) 10% HIGHER; Ramius Capital Submits $5.25/Share Offer for Phoenix Technologies (PTEC)

Highway Holdings Ltd. (Nasdaq: HIHO) 9% HIGHER; received two initial OEM orders from U.S.-based customers: The Coleman Company, Inc., located in Wichita, Kansas, to produce radio units and Fluidmaster, Inc., based in San Juan Capistrano, California, to produce tools for the manufacture of certain flushing system components. Terms were not disclosed.

Dendreon Corp. (Nasdaq: DNDN) 7% HIGHER; PROVENGE Granted FDA Priority Review for the Treatment of Asymptomatic, Metastatic, Androgen-Independent Prostate Cancer

Netflix, Inc. (Nasdaq: NFLX) 6.7% HIGHER; introduced a new feature that allows people to immediately watch movies and television series on their PCs, making the new feature available to its subscribers in a phased roll-out over the next six months.

USI Holdings Corp. (Nasdaq: USIH) 6.7% HIGHER; entered into a definitive merger agreement to be acquired by GS Capital Partners, a private equity affiliate of Goldman, Sachs & Co., in a transaction valued at approximately $1.4 billion, including repayment of USI's existing debt obligations. USI stockholders will receive $17.00 in cash for each share of USI common stock they hold.

TD AMERITRADE Holding Corporation (Nasdaq: AMTD) 3.75% HIGHER; Tops Q1 Views; Guides To Midpoint of Range

Tidewater Inc. (NYSE: TDW) 3% HIGHER; the Company is currently estimating diluted earnings per share between $1.61 and $1.68. This estimate includes a $0.07 per share gain from the December 2006 sale of three of the company's offshore tug vessels to Crosby Marine Transportation, LLC in completion of a transaction previously announced. (Current consensus is $1.45 per share)
