Pro Fac Cooperative Inc. (Nasdaq: PFACP) 41% LOWER: Company announces a reduction in expected future preferred stock dividends

Monogram Biosciences Inc. (NASDAQ: MGRM) 36% HIGHER; Pfizer Inc (NYSE: PFE) and Monogram announced a non-exclusive collaboration to make Monogram's HIV Co-Receptor Tropism Assay available for patient use on a global basis. Pfizer also entered into an agreement to invest $25 million in Monogram this month through a Senior Secured Convertible Note, payable in May 2010.

American Vanguard (NYSE: AVD) 22.6% LOWER; Company reports Q1 EPS of $0.09 per diluted share, versus $3.1 million or $0.12 per diluted share in the first quarter of the prior year.

Emmis Communications (Nasdaq: EMMS) 22.4% HIGHER; Announced that ECC Acquisition, Inc., an Indiana corporation wholly-owned by Jeffrey H. Smulyan, the Chairman, Chief Executive Officer and controlling shareholder of Emmis, has made a non-binding proposal to acquire the outstanding publicly held shares of Emmis for $15.25 per share in cash.

PRG-Schultz Int'l (Nasdaq: PRGX) 22.2% HIGHER; Company reports a Q1 loss of $0.17. Revenues were $65.54 million.

United Industrial (NYSE: UIC) 18.7% LOWER; Company reports Q1 EPS of $0.69, 5 cents worse than estimates. Revenues were $137.6 million vs. 132.34 million consensus. Also, a Company subsidiary, AAI Corporation, receives an $87 million order from U.S. Army

Inco Ltd. (NYSE: N) 16.1% HIGHER; Teck Cominco Limited said it will make a C$17.8 billion cash and share offer to acquire all of the outstanding shares of Inco Limited (NYSE: N), conditional on Inco not completing its announced takeover bid for Falconbridge Ltd (NYSE: FAL).

ExpressJet Holdings Inc. (NYSE: XJT) 10.15% HIGHER; Merrill Lynch upgrade

Park Electrochemical Corp. (NYSE: PKE) 8.6% HIGHER; Company reports Q4 EPS of $0.54 (excluding items), 14 cents better than estimates. Revenues were $56.97 million.

Entercom Communications Corp. (NYSE: ETM) 8% HIGHER; Reports Q1 EPS of $0.19, 5 cents better than estimates. Revenues were $91.1 million vs. $90.48 million consensus. The Company approves $100 million stock buyback.

Golden West Financial Corp. (NYSE: GDW) 7.6% HIGHER; Wachovia Corporation (NYSE: WB) and Golden West Financial Corporation (NYSE: GDW), parent of World Savings Bank, announced a definitive merger agreement.
