nLIGHT announces public stock offering for working capital

nLIGHT, Inc. (NASDAQ: LASR) announced it commenced an underwritten public offering of common stock pursuant to its existing shelf registration statement, according to a company statement.
The Camas, Washington-based laser manufacturer plans to grant underwriters a 30-day option to purchase up to an additional 15% of the shares offered at the public offering price, minus underwriting discounts and commissions.
The company intends to use net proceeds for working capital, capital expenditures, and general corporate purposes. The offering remains subject to market and other conditions, with no assurance regarding completion, timing, size, or terms.
Stifel, Baird, William Blair and Raymond James serve as joint lead book-running managers for the proposed offering.
nLIGHT filed an automatically effective shelf registration statement on Form S-3 with the Securities and Exchange Commission on February 3, 2026. A preliminary prospectus supplement and accompanying base prospectus will be filed with the SEC.
The company provides high-power lasers for directed energy, optical sensing, and advanced manufacturing applications. nLIGHT employs approximately 800 people with operations in the United States, Europe and Asia.
