Zentalis Pharmaceuticals launches public stock offering

Zentalis Pharmaceuticals, Inc. (Nasdaq: ZNTL) announced a proposed underwritten public offering of shares of its common stock, with an option for certain investors to receive pre-funded warrants in lieu of common stock, according to a company press release.
All securities in the offering will be sold by the company. Zentalis also expects to grant underwriters a 30-day option to purchase up to an additional 15% of common stock shares on the same terms and conditions. The offering is subject to market and other conditions, with no assurance as to whether, when, or on what terms it may be completed.
The company said it intends to use the net proceeds, combined with existing cash, cash equivalents, and marketable securities, to fund clinical trials, preclinical studies, regulatory filings, manufacturing, and companion diagnostic development. Proceeds will also support pre-commercial activities, capital expenditures, working capital, and other general corporate purposes.
TD Cowen, Guggenheim Securities, and Oppenheimer & Co. are acting as joint bookrunners for the offering.
The securities are being offered under a shelf registration statement filed with the U.S. Securities and Exchange Commission on March 26, 2025, which became effective on April 4, 2025.
