Yarrow Bioscience launches underwritten public stock offering

Yarrow Bioscience, Inc. (Nasdaq: YARW), a clinical-stage biotechnology company, announced the commencement of an underwritten public offering of shares of its common stock, with an option for certain investors to receive pre-funded warrants in lieu of common stock.



The company plans to grant underwriters a 30-day option to purchase up to an additional 15% of shares at the public offering price, less underwriting discounts and commissions. All securities are being offered by Yarrow.



Yarrow stated it intends to use net proceeds to fund research and development expenses for its pipeline and for general corporate purposes, which may include working capital and capital expenditures.



Jefferies, TD Cowen, and Guggenheim Securities are serving as joint book-running managers, while LifeSci Capital is acting as lead manager for the offering.



A shelf registration statement on Form S-3 was declared effective by the Securities and Exchange Commission on August 19, 2026. The offering is subject to market and other conditions, and no assurance has been given as to whether or when the offering may be completed, or as to its final size or terms.



Yarrow is developing YB-101, which the company describes as a potential first-in-class anti-thyroid stimulating hormone receptor monoclonal antibody targeting Graves' disease and thyroid eye disease.
