XTI Aerospace prices $20 million public offering at $1.60 per share

XTI Aerospace, Inc. (NASDAQ: XTIA) announced the pricing of a public offering of 12.5 million shares of common stock and warrants at a combined price of $1.60 per share, according to a company statement.
The offering includes warrants to purchase up to 12.5 million additional shares of common stock at an exercise price of $2.00 per share. The warrants will be exercisable immediately upon issuance for five years.
Total gross proceeds from the offering are expected to reach $20 million before deducting placement agent fees and other expenses. The offering is scheduled to close on September 15, 2025, subject to customary closing conditions.
XTI Aerospace plans to use the net proceeds for working capital and general corporate purposes, including development of its TriFan 600 aircraft. The company may also use a portion of the proceeds to invest in or acquire businesses or technologies, though it has no current commitments to do so.
ThinkEquity is serving as the sole placement agent for the offering. The securities are being offered under a shelf registration statement filed with the Securities and Exchange Commission on August 1, 2025, and declared effective on August 12, 2025.
XTI Aerospace develops vertical takeoff and landing aircraft solutions and operates from near Denver, Colorado. The company is currently developing the TriFan 600, designed as a fixed-wing business aircraft with helicopter-like vertical takeoff capabilities.
