Western Copper and Gold raises C$50 million through share offering

Western Copper and Gold Corporation (NYSE: WRN) announced it has entered into an agreement with Stifel Canada and a syndicate of underwriters for a bought deal financing worth approximately C$50 million.

The underwriters agreed to purchase 12,048,400 common shares at C$4.15 per share. The company granted underwriters an over-allotment option to purchase up to an additional 1,807,260 shares within 30 days of closing, which could raise total gross proceeds to approximately C$57.5 million if exercised in full.

Western Copper and Gold plans to use net proceeds to advance permitting and engineering activities at its Casino Project in Yukon and for general corporate and working capital purposes.

The offering will be conducted through a short form prospectus filed in all Canadian provinces except Quebec and in the United States under a Form F-10 registration statement through the Canada-U.S. multi-jurisdictional disclosure system.

The offering is scheduled to close on or about February 26, 2026, subject to conditions including approvals from the Toronto Stock Exchange, NYSE American, and applicable securities regulatory authorities.

Western Copper and Gold is developing the Casino Project, described as a copper-gold mining project in Yukon. The company stated its commitment to working with First Nations and local communities on the project using responsible mining practices.
