WF International closes $3.44 million follow-on public offering
WF International Limited (NASDAQ: WXM) completed a follow-on public offering of 1,720,688 units at $2.00 per unit, generating approximately $3.44 million in gross proceeds before fees and expenses, the company announced.
Each unit consists of one ordinary share and one warrant to purchase one ordinary share. The warrants are exercisable immediately at an exercise price equal to 100% of the public offering price and will expire five years from issuance. The ordinary shares and warrants are immediately separable and will be issued separately.
The Benchmark Company, LLC and Axiom Capital Management, Inc. served as placement agents for the offering, which was conducted on a "reasonable best efforts" basis.
WF International plans to use the net proceeds for talent acquisition and general corporate and working capital purposes, according to the company statement.
The securities were offered under a registration statement on Form F-1 that became automatically effective on November 3, 2025, pursuant to the Securities Act of 1933.
WF International specializes in supply, installation, fitting-out, and maintenance services for HVAC systems, floor heating systems, and water purification systems. The company serves commercial projects and high-end residential developments primarily in Sichuan, China.
The company's project portfolio includes installations at International Finance Squares across China, Chengdu Vanke Charm City, Chengdu Raffles Plaza, and Chengdu Metro Line 10, among others.
