Vor Bio launches $100 million public stock offering

Vor Biopharma Inc. (NASDAQ: VOR) announced the commencement of an underwritten public offering of $100 million in common stock shares. The clinical-stage biotechnology company also plans to grant underwriters a 30-day option to purchase up to an additional $15 million in shares at the public offering price, minus underwriting discounts and commissions.
J.P. Morgan, Jefferies, Citigroup and TD Cowen serve as joint book-running managers for the proposed offering. All shares in the offering are being sold by Vor Bio.
The company stated the proposed offering remains subject to market and other conditions, with no assurance regarding completion timing or final terms. The shares are being offered through a shelf registration statement that the Securities and Exchange Commission declared effective on March 31, 2025.
Vor Bio focuses on developing treatments for autoimmune diseases and is advancing telitacicept, described as a dual-target fusion protein, through Phase 3 clinical development for autoantibody-driven conditions.
The offering will be conducted through a preliminary prospectus supplement and accompanying prospectus filed with the SEC. Investors can obtain copies through the underwriters or access them on the SEC's website.
