Volt Carbon amends private placement pricing to C$0.025 per unit
Volt Carbon Technologies Inc. (TSXV: VCT) (OTCQB: TORVF) amended the pricing of its previously announced non-brokered private placement financing to comply with TSX Venture Exchange regulations.
The offering will consist of up to 12 million units priced at C$0.025 per unit for gross proceeds of up to C$300,000. Each unit includes one common share and one warrant exercisable at C$0.05 per share for 24 months from issuance.
The Calgary-based company adjusted the pricing to align with TSX Venture Exchange Policy 1.1, which prohibits discounts below market price when shares trade under C$0.05. The revised price corresponds to the company's market price at the time of the original announcement on October 17.
Volt Carbon plans to use proceeds to pay outstanding payables, advance battery and mobile mineral separation technology, and for general working capital. No finder's fees or commissions will be paid in connection with the placement.
The company expects to close the offering within approximately 30 business days, subject to customary conditions and TSX Venture Exchange approval. No insiders will participate in the offering and no new control persons will be created.
Volt Carbon describes itself as a carbon science company focused on energy storage and green energy creation, with mining claims in Ontario, Quebec, and British Columbia.
