Volt Carbon Technologies plans $250,000 private placement
Volt Carbon Technologies Inc. (TSXV: VCT) (OTCQB: TORVF) announced plans to complete a non-brokered private placement of up to 10 million units at C$0.025 per unit for gross proceeds of up to C$250,000.
Each unit consists of one common share and one warrant. The warrants allow holders to purchase additional common shares at C$0.05 per share for 24 months from issuance. The securities will be subject to a four-month and one-day statutory hold period under applicable securities legislation.
The company stated it intends to use proceeds for intellectual property development initiatives, advancing battery and mobile mineral separation technologies, and general working capital. No finder's fees or commissions are expected in connection with the offering.
Closing requires customary conditions and regulatory approvals, including TSX Venture Exchange approval. Volt Carbon anticipates closing within approximately 30 business days. No insiders plan to participate in the offering, and no new control persons will be created.
The company also announced its annual general meeting will be held June 19, 2026, at 10:00 a.m. Pacific Time at Royal Colwood Golf Club in Victoria, British Columbia. Additional details will be provided in the management information circular to be filed on SEDAR+.
