Vision Lithium plans private placement to raise up to $500,000
Vision Lithium Inc. (TSXV: VLI) announced a proposed non-brokered private placement of up to 25 million flow-through shares at $0.02 per share to raise gross proceeds of up to $500,000.
The flow-through shares qualify under subsection 66(15) of the Income Tax Act (Canada) and section 359.1 of the Taxation Act (Quebec). The company will use proceeds to incur eligible Canadian exploration expenses that qualify as flow-through critical mineral mining expenditures related to its Quebec projects.
All qualifying expenditures will be renounced in favor of subscribers effective December 31, 2025. The company may pay finders' fees in cash, shares, warrants or a combination thereof.
Securities issued under the offering will be subject to a four-month-and-one-day hold period from issuance date. The offering requires approval from the TSX Venture Exchange.
Vision Lithium is a junior exploration company focused on lithium and copper assets in Canada. The company completed a positive preliminary economic assessment on its Sirmac lithium project in 2023 and holds the Godslith lithium property in Manitoba, along with base metal properties in eastern Quebec and New Brunswick.
The offered securities have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States without registration or an applicable exemption.
