Viewbix closes $4.5 million private placement with institutional investors
Viewbix Inc. (NASDAQ: VBIX) completed a private placement raising approximately $4.5 million from strategic institutional investors on July 14, 2025. The ad-tech company issued 925,923 units and pre-funded units priced at-the-market under Nasdaq rules.
The common units sold at $4.86 per unit, while pre-funded units were priced at the same amount minus the pre-funded warrant exercise price of $0.0001. Each unit includes one share of common stock and one common warrant exercisable at $4.74 per share. The common warrants are exercisable immediately with a 5.5-year term, while pre-funded warrants are immediately exercisable until exercised in full.
Aegis Capital Corp. served as exclusive placement agent for the transaction. The company expects to use net proceeds for general corporate purposes and working capital.
Viewbix stated it plans to continue exploring potential business opportunities, investments and activities in various new sectors. The Tel Aviv-based company operates in digital advertising through subsidiaries Gix Media Ltd. and Cortex Media Group Ltd., focusing on search technology and digital content creation.
The securities were sold in a private placement exempt from Securities Act registration requirements and offered only to accredited investors. Under a registration rights agreement, Viewbix agreed to file registration statements with the SEC covering the resale of shares and warrants from the offering.
