Vertical Aerospace prices $60 million public offering at $5 per share

Vertical Aerospace (NYSE: EVTL) announced it has priced an underwritten public offering of $60 million of ordinary shares at $5.00 per share. The electric aviation company granted underwriters a 30-day option to purchase up to an additional 1.8 million ordinary shares.

The offering is expected to close on or about July 10, 2025, subject to customary closing conditions. Deutsche Bank Securities and William Blair are serving as joint bookrunners for the transaction.

The company stated it intends to use net proceeds to fund research and development expenses as it continues developing its aircraft, expand testing and certification capacities, and support general working capital and corporate purposes.

The offering is being conducted under a registration statement on Form F-3 filed with the Securities and Exchange Commission on May 13, 2025, and declared effective on May 16, 2025.

Vertical Aerospace develops electric vertical take-off and landing aircraft, with its VX4 designed as a piloted, four-passenger eVTOL aircraft. The company reports approximately 1,500 pre-orders of the VX4 from customers including American Airlines, Japan Airlines, GOL and Bristow across four continents.
