Venu Holding prices $75 million public offering at $4 per share

Venu Holding Corporation (NYSE American: VENU) announced the pricing of an underwritten public offering of 18,750,000 shares of common stock and accompanying warrants at $4.00 per share, generating gross proceeds of $75 million before fees and expenses.



The Colorado Springs-based live music venue operator will issue one warrant per share, with each warrant allowing the holder to purchase one additional share at $5.00 per share. The warrants expire five years from issuance. The company granted underwriters a 45-day option to purchase up to 2,812,500 additional shares and warrants to cover over-allotments.



The offering is expected to close March 10, 2026, subject to customary closing conditions. ThinkEquity serves as the sole book-running manager.



Venu plans to use net proceeds to fund development costs for The Sunset McKinney and The Sunset Broken Arrow venues, repay a $4.35 million promissory note related to property acquisition in Centennial, Colorado for a planned indoor music hall and restaurant, and for working capital and general corporate purposes.



The company operates upscale live music venues and hospitality destinations, with a portfolio including Ford Amphitheater, Sunset Amphitheaters, Phil Long Music Hall, and other entertainment brands across Colorado, Georgia, Oklahoma, and Texas.



A registration statement filed with the Securities and Exchange Commission became effective December 8, 2025. The final prospectus will be available through ThinkEquity and on the SEC's website.
