Venu Holding prices $30 million public offering at $12 per share
Venu Holding Corporation (NYSE American: VENU) priced an underwritten public offering of 2.5 million shares of common stock at $12.00 per share, generating gross proceeds of $30 million before underwriting discounts and expenses.
The live music venue operator also granted underwriters a 45-day option to purchase up to 375,000 additional shares to cover over-allotments at the public offering price, less the underwriting discount. The offering is expected to close on August 28, 2025, subject to customary closing conditions.
The company plans to use net proceeds to fund development costs for the Sunset McKinney and Sunset Broken Arrow venues, along with working capital and general corporate purposes, according to the press release.
ThinkEquity is serving as the sole book-running manager for the offering. The Securities and Exchange Commission declared the registration statement on Form S-1 effective on August 26, 2025.
Venu Holding develops and operates live music venues and hospitality destinations. The company operates campuses in Colorado Springs, Colorado, and Gainesville, Georgia, featuring venues including the Ford Amphitheater and various dining establishments. The company is expanding with new Sunset Amphitheaters in Oklahoma and Texas designed to accommodate between 12,500 and 20,000 guests.
