Venu Holding completes $34.5 million public offering
Venu Holding Corporation (NYSE American: VENU) completed its public offering of 2,875,000 shares of common stock at $12.00 per share, generating gross proceeds of $34.5 million before underwriting discounts and expenses.
The offering included 375,000 shares sold through the full exercise of the underwriter's option to purchase additional shares. ThinkEquity served as the sole book-running manager for the transaction.
The company stated it will use net proceeds to fund development costs for the Sunset McKinney and Sunset Broken Arrow venues, along with working capital and general corporate purposes. Venu operates live music venues and hospitality destinations.
The securities were offered through a registration statement on Form S-1 filed with the Securities and Exchange Commission, which became effective on August 26, 2025. The final prospectus is available through ThinkEquity and on the SEC's website.
Venu currently operates entertainment complexes in Colorado Springs, Colorado, and Gainesville, Georgia. The Colorado Springs location includes a 9,000-seat Ford Amphitheater, while the company is expanding with new Sunset Amphitheaters in Oklahoma and Texas designed to accommodate between 12,500 and 20,000 guests.
