VSee Health prices $6 million private placement at $0.61 per share

VSee Health, Inc. (NASDAQ: VSEE) announced it has entered into a securities purchase agreement with a single institutional investor for a private placement totaling approximately $6.0 million in gross proceeds.
The company will issue 9,836,065 shares of common stock and warrants to purchase up to 19,672,130 additional shares at an effective combined price of $0.61 per share. The warrants carry an exercise price of $0.61 per share and will expire five years from the initial exercise date.
The offering is expected to close on or about December 1, 2025, subject to customary closing conditions. The warrants will become exercisable immediately following receipt of shareholder approval.
VSee Health plans to use the net proceeds for working capital and general corporate purposes. A.G.P./Alliance Global Partners is serving as the sole placement agent for the transaction.
The securities are being sold under an exemption from registration requirements under Section 4(a)(2) of the Securities Act of 1933 and Regulation D. The company has agreed to file a registration statement with the Securities and Exchange Commission covering the resale of the shares within 20 calendar days after closing and will use commercially reasonable efforts to have it declared effective within 60 days following the closing.
VSee Health operates as a telehealth technology and services company, providing virtual care solutions through its platform that integrates secure video, device data, and electronic health record connectivity for hospital systems, health networks, and employers.
