VAXIL announces $350,000 private placement offering
Vaxil Bio Ltd. (TSX VENTURE: VXL) announced plans to complete a non-brokered private placement offering of up to 2,456,140 units at $0.1425 per unit to raise gross proceeds of up to $350,000.
Each unit consists of one common share and one warrant. The warrants allow holders to purchase additional shares at $0.19 per share for five years following the offering's closure.
The company expects to close the offering on or around November 14, 2025, subject to TSX Venture Exchange approval and other conditions.
Vaxil will pay finders a cash commission of up to 8% of gross proceeds and issue finders' warrants equal to up to 8% of the total units sold. All securities will be subject to a four-month and one-day hold period under applicable securities laws.
The net proceeds will support general corporate purposes, according to the company's statement.
The Israel-based company previously focused on immunotherapy for cancer and infectious diseases, with its lead product ImMucin receiving orphan drug status from the FDA and EMA. Vaxil is currently evaluating other business opportunities that may or may not be in biotechnology to enhance shareholder value.
