Upexi files preliminary prospectus for 6.6 million share offering

Upexi Inc. (NASDAQ: UPXI) filed a preliminary prospectus for the offering and potential resale of up to 6,578,948 shares of common stock by a selling stockholder, according to a company statement.

The shares consist of 3,289,474 shares issued through a private investment in public equity offering and an additional 3,289,474 shares that may be issued upon exercise of warrants. Both components relate to a securities purchase agreement dated November 26, 2025, between the company and an investor.
