Tsodilo Resources raises C$310,317 through private placement
Tsodilo Resources Limited (TSXV: TSD) (OTCQB: TSDRF) completed a private placement financing on September 26, 2025, raising gross proceeds of C$310,317.
The Toronto-based exploration company issued 2,067,581 units at C$0.15 per unit. Each unit consists of one common share and one warrant that allows the holder to purchase an additional common share at USD$0.15 within five years of issuance.
The securities are subject to a four-month and one-day hold period expiring January 27, 2026. The warrants include an acceleration provision that triggers expiry if the company's shares trade at USD$0.30 or higher for 10 consecutive trading days after the hold period ends.
Tsodilo plans to use the proceeds for advancing its Xaudum Iron Formation project, Critical and Rare Earth Metals projects, and general corporate purposes including working capital.
The company operates as an international resource exploration firm focused on economic metal deposits through its Gcwihaba Resources projects in Botswana. Tsodilo holds a 100% stake in its Gcwihaba project area, which encompasses five prospecting licenses for base metals, precious metals, platinum group metals, and rare earth elements in Botswana's North-West district.
The financing was conducted as a non-brokered private placement, according to the company's announcement.
