Tristar Gold closes C$10.4 million private placement offering

Tristar Gold Inc. (TSXV: TSG) (OTCQB: TSGZF) completed a brokered private placement offering that raised gross proceeds of C$10,352,530, the company announced.
The offering involved the issuance of 45,011,000 units priced at C$0.23 per unit. Each unit consists of one common share and one-half of a common share purchase warrant. The warrants are exercisable at C$0.30 per share until June 4, 2028.
Stifel Canada served as lead agent and sole bookrunner, alongside Paradigm Capital Inc. The agents exercised their over-allotment option in full as part of the transaction.
The agents received a cash fee of C$621,151.80 and 2,700,660 non-transferable compensation warrants exercisable at C$0.23 per share until June 4, 2028. These compensation warrants are subject to a four-month hold period ending October 5, 2026.
Tristar Gold plans to use the net proceeds to fund exploration and development of its mineral properties and for general working capital purposes.
The offering was conducted under the listed issuer financing exemption pursuant to National Instrument 45-106, targeting purchasers in Canada outside Quebec and other qualifying jurisdictions. Units issued under this exemption are not subject to a hold period under Canadian securities laws.
The transaction remains subject to final approval from the TSX Venture Exchange. Tristar Gold focuses on precious metals exploration and development in the Americas, with its flagship property located at Castelo de Sonhos in Pará State, Brazil.
