Trinity Capital Inc. (NASDAQ: TRIN), an internally managed business development company, today announced that it priced its initial public offering of 7,375,274 shares of its common stock at $14.00 per share, consisting of 6,900,000 shares being sold by Trinity and 475,274 shares being sold by certain selling stockholders. Trinity's shares of common stock are expected to begin trading on the Nasdaq Global Select Market on January 29, 2021 under the symbol "TRIN." Trinity also granted the underwriters an option to purchase up to an additional 1,106,291 shares of its common stock. The closing of the offering is subject to customary closing conditions and the shares are expected to be delivered on or about February 2, 2021.
Trinity intends to use the net proceeds from this offering to pay down a portion of its existing indebtedness outstanding under its credit agreement, to make investments in accordance with its investment objective, and for general corporate purposes.
Keefe, Bruyette & Woods, A Stifel Company, Wells Fargo Securities and UBS Investment Bank are acting as joint book-running managers for the offering. Janney Montgomery Scott, B. Riley Securities, Ladenburg Thalmann and Compass Point are acting as co-managers for this offering.
