Trans Canada Gold raises $500,000 in flow-through private placement
Trans Canada Gold Corp. (TSXV: TTG) (OTCQB: TTGXF) announced a $500,000 non-brokered flow-through private placement to fund drilling activities at its Harrison Lake Gold Project in southwestern British Columbia.
The company will issue 2,777,777 flow-through units at $0.18 per unit. Each unit includes one flow-through common share and one-half share purchase warrant, with warrants exercisable at $0.30 per share for two years from issuance.
Trans Canada Gold will pay a 6% finder's fee on gross proceeds to arm's length parties. Management and directors may participate in up to $100,000 of the offering.
The net proceeds will fund eligible Canadian exploration expenditures at the Harrison Lake property, with expenditures to be renounced for the 2026 tax year. Closing is expected by mid-March 2026.
This flow-through offering supplements a previously announced $1.5 million private placement of 10,000,000 units at $0.15 per unit. The earlier offering includes warrants exercisable at $0.30 per share for three years.
Proceeds from the initial placement will support property acquisition costs of $100,000, year one exploration expenditures of $600,000, reserves for year two activities of $600,000, and general working capital of $200,000.
Year one exploration activities include upgrading core logging facilities, underground rehabilitation, drilling 1,000 meters underground and 500 meters in Hill Zone and Portal Zone areas, plus equipment and supervision costs.
Both offerings include a 15% over-allotment option and will be available to existing shareholders through exemptions under Canadian securities regulations. All securities will be subject to a four-month hold period.
