TinOne Resources closes $750,000 private placement financing

TinOne Resources Inc. (TSXV: TORC) has closed a non-brokered private placement, raising gross proceeds of $750,000 through the issuance of 15,000,000 units at $0.05 per unit, according to a press release.
Each unit consists of one common share and one warrant, with each warrant exercisable at C$0.10 per share until October 1, 2028. The offering was first announced on September 9, 2026.
The company paid C$6,000 in cash finders fees and issued 120,000 finders warrants, each exercisable at $0.10 per share until October 1, 2028. All securities issued are subject to a four-month and one-day hold period under Canadian securities laws, and the offering remains subject to final approval from the TSX Venture Exchange.
Insiders subscribed for 3,700,000 units, representing gross proceeds of $185,000. The transaction qualifies as a related-party transaction under Multilateral Instrument 61-101 but is exempt from formal valuation and minority approval requirements.
Net proceeds will be directed toward advancing the company's projects in Tasmania, Australia, and for general working capital purposes.
TinOne also issued 1,000,000 incentive stock options to directors, officers, and contractors in connection with the offering.
