Tier One Silver raises C$5.6 million in private placement

Tier One Silver Inc. (TSXV: TSLV) (OTCQB: TSLVF) announced a private placement financing targeting 70 million units at C$0.08 per unit for gross proceeds of approximately C$5.6 million.



Each unit consists of one common share and one warrant. The warrants allow holders to purchase additional shares at C$0.11 each within 36 months of the closing date. The offering involves institutional investors and other arm's-length parties.



The company plans to use proceeds for project exploration, new project investigation, and general working capital. The securities will be subject to a four-month and one-day hold period in Canada following closing.



Certain warrants contain restrictions preventing exercise if the holder would exceed 9.99% of issued shares. The company stated no new insiders will result from the offering.



Closing is expected on or around September 8, 2025, subject to investor documentation, funding, and TSX Venture Exchange approval. Tier One Silver will pay customary finder's fees and issue non-transferable broker warrants in compliance with TSXV policies.



Tier One Silver focuses on exploration for silver, gold, and copper deposits in South America, with its flagship Curibaya project as the primary focus. The Vancouver-based company trades on the TSX Venture Exchange and OTCQB markets.
