Thunder Mountain Gold announces private placement up to $2.5 million

Thunder Mountain Gold Inc. (TSXV: THM) (OTCQB: THMG) announced its board approved a non-brokered private placement of up to 1 million units at $0.25 per unit for gross proceeds of up to $2.5 million.
Each unit consists of one common share and one-half warrant. Each whole warrant allows the holder to purchase one additional common share at $0.40 for 24 months from issuance. The company may close the placement in multiple tranches subject to regulatory approval.
The proceeds will fund exploration activities and general working capital. Thunder Mountain received conditional approval from the TSX Venture Exchange, with closing subject to exchange requirements.
The placement targets accredited investors only under securities law exemptions. Securities will not be registered under the U.S. Securities Act of 1933 and cannot be offered or sold in the United States to U.S. persons except under registration requirements or applicable exemptions. Issued securities will be subject to a four-month hold period under TSX Venture Exchange policies and Canadian securities legislation.
Thunder Mountain Gold, founded in 1935, is a junior exploration company with base and precious metals projects in the western United States. The company's main asset is the South Mountain Mine in Owyhee County, Idaho, a former Anaconda Mining development containing zinc, silver, gold, lead and copper on private land. The company also owns the Trout Creek Project, a gold exploration project in Nevada adjacent to Nevada Gold Mines, a Barrick and Newmont joint venture.
The South Mountain Mine features over 4,000 feet of rehabilitated underground workings that are MSHA compliant. Thunder Mountain has invested approximately $25 million in the project since 2007.
